Sorry, it will not fit.
Will this work with a bed rack?

No, it will not work with bed rack. The unit is a top mount and will interfere with the installation of the bed rack.
Can you close the tailgate without unlocking cover?

If you close the cover and then the tailgate, the seal will be closed into the tailgate so you can open and close the tailgate without opening the cover.
Will this work with a bed liner?

No, if bed liner comes over bed rails. If liner snaps under bed side rails, then probably. Has clamps that secure frame to bed side in three or four places under bed side lip.
Can this be installed without any drilling or distress caused to my frame?

It is a tool-free, no-drilling installation.
